Dana to sell its Off-Highway business to Allison

USA–  We announced late last year that chassis components supplier, Dana Incorporated of Maumee, Ohio, USA was looking to sell its off-highway business, it has emerged that gearbox and e-Axle manufacturer, Allison Transmission Inc based in Indianapolis, Indiana, will procure the division, for USD 2.7 billion, pending regulatory approval. The deal, approved by both boards, is expected to close in the fourth quarter of 2025. The sale is part of Dana’s broader strategy to streamline operations (focusing on light‑ and commercial‑vehicle systems ) and initiate a USD 300 million cost reduction plan. It intends to return around USD 550 million to shareholders from the proceeds and reduce approximately USD 2 billion in debt, while also funding cost-cutting initiatives. The sale is expected to strengthen Dana's balance sheet and unlock untapped shareholder value.

According to Dana, its Off-Highway unit supplies drivetrain systems (including axles, propulsions, hybrid/e‑drive components) for heavy-duty vehicles in construction, agriculture, mining, forestry and industrial applications, with operations spanning 25+ countries and about 11,000 employees.
